These Self-Service Terms apply to each individual or organization that registers for or uses the Services without executing an Order Form. These Self-Service Terms supplement the Core MSA Terms. Any conflict is resolved under Section 2.2 of the Core MSA Terms.

A1. Account Registration

A1.1 Eligibility

Self-Service Customers who are natural persons must be at least eighteen (18) years of age, or the age of majority in their jurisdiction if higher. By completing registration, Customer represents and warrants that they meet this eligibility requirement. VESSL reserves the right to require age verification and to suspend or terminate accounts where eligibility cannot be confirmed.

A1.2 Account Creation

The account is established upon completion of the online registration process, including email verification. No Order Form or signature is required for access under this Annex A.

A1.3 Accurate Information

Customer must provide accurate, current, and complete registration information and must keep such information updated throughout the term of their account. VESSL may suspend or terminate accounts found to contain materially inaccurate or misleading registration information.

A1.4 One Account Per Individual

Unless otherwise agreed, each individual may maintain only one personal account. Creating duplicate or multiple accounts to circumvent usage limits, trial restrictions, or suspensions is a material breach of this Agreement.

A1.5 Account Security

Customer is solely responsible for maintaining the confidentiality of its account credentials and for all activity that occurs under its account. Customer must (a) use a strong, unique password and, where available, enable multi-factor authentication; (b) not share credentials with any unauthorized person; and (c) notify VESSL promptly at security@vessl.ai upon becoming aware of any unauthorized access. VESSL will not be liable for any loss arising from unauthorized access resulting from Customer’s failure to maintain adequate credential security.

A2. Fees, Billing, and Payment

A2.1 Pricing

Self-Service Customers are billed according to the pricing published on VESSL’s website and in the Services console, as updated from time to time. VESSL will provide at least seven (7) days’ advance notice through the VESSL console or by email before an increase to pricing applicable to Customer takes effect. A price increase applies prospectively and does not alter Fees accrued before its effective date.

A2.2 Payment Method and Purchased Credit Balance

Self-Service Customers must maintain a valid credit card or other VESSL-accepted payment method on file via VESSL’s payment processor (Stripe). Customer may use this payment method to purchase Purchased Credits, which are added to Customer’s account balance. By providing a payment method, Customer authorizes VESSL, through Stripe, to charge that payment method for Purchased Credit purchases and any other Fees incurred. Purchased Credits acquired before the effective date of this version of Annex A retain the expiration date displayed when they were acquired, or any later expiration date VESSL previously granted. Purchased Credits acquired on or after that effective date expire twelve (12) months from the date of acquisition, unless a longer period is stated in the terms under which they are issued. VESSL will provide at least thirty (30) days’ advance notice through the VESSL console or by email before Purchased Credits expire and may provide additional reminders closer to expiration. Expired Purchased Credits are forfeited except as set out in Section A5. Promotional Credits expire as stated in the conditions under which they are issued. Service Credits expire as stated in the SLA.

A2.3 Usage-Based Deduction

Fees for usage-based Services are deducted from available Purchased Credits and Promotional Credits as the Services are consumed, in each case in accordance with the terms applicable to that category. Service Credits are applied only as stated in the SLA. If the available Purchased Credits and Promotional Credits are insufficient to cover accrued Fees, VESSL may suspend access to the affected Services until Customer adds sufficient Purchased Credits or another accepted payment method. Customer is responsible for maintaining sufficient available value to avoid service interruption.

A3. Modifications to the Services

A3.1 Non-material Technical and Operational Changes

VESSL may make a technical or operational change that does not materially decrease the functionality of a Service or materially adversely affect Customer’s contracted use when the change is implemented. VESSL may communicate such a change through the VESSL console, Documentation, release notes, or email. A3.2 Material Changes VESSL will provide at least thirty (30) days’ prior notice through the VESSL console or by email before a change that materially decreases the functionality of a Service or materially adversely affects Customer’s contracted use takes effect. The change will apply prospectively. Customer may reject the change by terminating its account before the effective date. If the change materially reduces Customer’s contractual rights or materially increases Customer’s obligations, VESSL will refund the unused balance of Customer’s Purchased Credits following termination. Continued use of the affected Service after the effective date constitutes acceptance of the change.

A3.3 Urgent Changes

VESSL may make a change on shorter notice, including immediately where reasonably necessary, if the change is required by applicable law or a regulatory authority or is reasonably necessary to address an urgent security, integrity, fraud, or third-party-rights issue. VESSL will provide as much advance notice as is reasonably practicable and use commercially reasonable efforts to minimize material adverse impact.

A3.4 Reserved Subjects

Price changes are governed by Section A2.1. Amendments to legal or commercial terms are governed by Section A7.

A4. Term, Termination, and Account Management

A4.1 Termination by Customer

Customer may terminate its account at any time by using the account-deletion function in the VESSL console or by submitting a written request to support@vessl.ai. Termination is effective upon Customer’s request, and ordinary account, token, credential, workload, and console access ends immediately. During the fourteen (14)-day period described in Section A4.3, Customer may request controlled account recovery or export of eligible Customer Content. Fees already paid, including Purchased Credits, are non-refundable except as set out in Section A5.

A4.2 Termination by VESSL

VESSL’s rights to suspend or terminate Customer’s access to the Services are set out in Sections 3.4 and 5 of the Core MSA Terms. Where applicable consumer protection law in Customer’s jurisdiction imposes specific procedural requirements or limitations on termination of consumer accounts, VESSL will comply with such requirements to the extent they are mandatory.

A4.3 Voluntary Termination: Recovery, Export, and Deletion

Upon voluntary account termination under Section A4.1: (a) ordinary account, token, credential, workload, and console access ends immediately, and active Workspace compute is terminated; (b) unless Customer gives an action-specific instruction for earlier irreversible deletion or earlier deletion is required by law or an applicable Service-Specific Term, VESSL will retain eligible Customer Content in active systems for fourteen (14) days solely to support controlled account recovery or export; (c) during that period, Customer may request recovery or export through the process stated in the Support Policy or another controlled process made available by VESSL, and VESSL may verify the requester’s identity and authority; (d) VESSL is not required to restore billable workloads or ordinary account access solely to provide an export; and (e) after the fourteen (14)-day period, VESSL will delete remaining Customer Content from active systems in accordance with the DPA and will delete or, where legally and technically appropriate, irreversibly de-identify applicable account data. Termination of an individual user account does not cause deletion of Customer Content belonging to an organization that retains another authorized member. Temporary or ephemeral data may be deleted earlier under the applicable Service-Specific Terms. Separately managed Cluster Storage and Object Storage remain subject to their expressly stated lifecycle, and backups, security records, transaction records, and legal holds remain subject to the limited retention rules in the DPA and applicable law.

A4.4 Suspension — Fee Consequences

During a suspension, VESSL will preserve Customer’s remaining Purchased Credits, Promotional Credits, and Service Credits. VESSL will not deduct Purchased Credits or Promotional Credits for use of an affected Service to the extent that Service is unavailable, but may deduct them for unaffected Services or resources that remain available or continue to be retained at Customer’s direction, in each case under their applicable terms. Service Credits may be applied only as stated in the SLA. VESSL will not forfeit any Purchased Credits, Promotional Credits, or Service Credits solely because of the suspension, but the expiration rules applicable to each category continue to apply. A suspension does not itself create a time-based pro-rata credit or a Service Credit. Refunds or other remedies arising from VESSL’s material breach remain governed by the Core Terms and Section A5, and availability Service Credits remain governed exclusively by the SLA.

A4.5 Dormant Account Management

(a) Dormancy Threshold. An account becomes dormant when there has been no login, API call, or billable activity for a continuous period of twelve (12) months. For an organization account, activity by any Authorized User associated with that organization prevents the organization account from becoming dormant. (b) Notice of Dormancy. At least sixty (60) days before taking any action on a dormant account, VESSL will send a notice to the email address on file. VESSL will send a second reminder notice no later than thirty (30) days before scheduled deletion. (c) Reactivation. Customer may reactivate a dormant account at any time prior to deletion by logging into the account or by contacting VESSL at support@vessl.ai. Reactivation resets the dormancy period. (d) Deletion. If Customer does not reactivate within the notice period, VESSL may permanently delete the dormant account and associated Customer Content in accordance with the DPA. Termination or dormancy of one individual user does not cause deletion of Customer Content belonging to an organization that retains another Authorized User. VESSL will not be liable for loss of Customer Content resulting from deletion completed in accordance with this Section A4.5 and the DPA. Any remaining Purchased Credits may be forfeited only to the extent permitted by applicable mandatory law. Promotional Credits expire under the conditions on which they were issued, and Service Credits expire under the SLA. The notices provided under this Section A4.5 will state the scheduled deletion date and explain the proposed treatment of each remaining category.

A5. Refunds and Consumer Protections

All Fees paid by Self-Service Customers, including amounts represented by Purchased Credits, are non-refundable. Purchased Credits, Promotional Credits, and Service Credits are not redeemable for cash. This Section A5 does not limit: (a) refunds expressly provided for in this Agreement, including Sections 5.5 and 12.1 of the Core MSA Terms and Section A3.2 of this Annex A; or (b) the rights of Customers who are consumers under applicable mandatory consumer protection law that cannot be waived by contract, with which VESSL will comply. For purposes of the provisions referenced in clause (a), “pre-paid Fees” includes the unused balance of Customer’s Purchased Credits, but excludes Promotional Credits and Service Credits.

A6. Publicity

No publicity permission arises merely because Customer creates an account or uses the Services. If Customer is an organization, VESSL may request a separate affirmative opt-in to use Customer’s name or logo as described in Core Section 14.16. If Customer is an individual, VESSL will not use Customer’s name or other identifying information for publicity without Customer’s separate express permission.

A7. Amendments

VESSL may update these Self-Service Terms and the other public terms incorporated into the Agreement. A non-material administrative, clarifying, technical, or operational update that does not materially adversely affect Customer’s legal or commercial rights or obligations may take effect when published. VESSL will provide at least seven (7) days’ advance notice through the VESSL console or by email before a materially adverse change to legal or commercial terms takes effect. The change will apply prospectively. Customer may reject the change by terminating its account before the effective date. If the change materially reduces Customer’s contractual rights or materially increases Customer’s obligations, VESSL will refund the unused balance of Customer’s Purchased Credits following termination. Continued use of the Services after the effective date constitutes acceptance of the change. A change required by applicable law or a regulatory authority, or reasonably necessary to address an urgent security, integrity, fraud, or third-party-rights issue, may take effect on shorter notice, including immediately where reasonably necessary. VESSL will provide as much notice as is reasonably practicable. Price changes are governed by Section A2.1, and changes to Sub-processors are governed by the DPA. No amendment retroactively alters accrued rights, existing claims, or the expiration date of Purchased Credits grandfathered under Section A2.2.
